United Kingdom Governing Law These Terms and any Contract are governed by the laws of the United Kingdom.

Introduction

Welcome to Grant and Graham Ltd (referred to as "we," "us," or "our"). By accessing and using our website (www.grant-graham.co.uk) and services, you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully.

Definitions

1.1"Client" refers to any individual or entity that enters into a contract with Grant and Graham Ltd for the provision of services.
1.2"Services" refer to the commercial strategy, lead generation, implementation, and other related services provided by Grant and Graham Ltd.
1.3"Contract" refers to the agreement between Grant and Graham Ltd and the Client for the provision of Services.

Services

2.1Grant and Graham Ltd provides comprehensive commercial strategy, lead generation, and implementation services to support the Client's business objectives.
2.2The specific services to be provided, along with the associated deliverables, timelines, and costs, will be outlined in the Contract between Grant and Graham Ltd and the Client.

Payment Terms

3.1Payment terms will be specified in the Contract. Payment is due as outlined in the agreed payment schedule.
3.2In the event of late payment, Grant and Graham Ltd reserves the right to suspend the provision of Services until payment is received.
3.3All payments are non-refundable unless otherwise agreed in writing by both parties.

Client Obligations

4.1The Client agrees to provide all necessary information, materials, and support required for the provision of Services.
4.2The Client is responsible for ensuring that any information provided to Grant and Graham Ltd is accurate and complete.
4.3The Client agrees to cooperate fully with Grant and Graham Ltd in the performance of the Services.

Confidentiality

5.1Both parties agree to keep confidential any proprietary or confidential information disclosed during the provision of Services.
5.2Confidential information shall not be disclosed to any third party without the prior written consent of the other party, except as required by law.

Intellectual Property

6.1All intellectual property rights in the deliverables created by Grant and Graham Ltd in the course of providing the Services shall remain the property of Grant and Graham Ltd until full payment is received.
6.2Upon receipt of full payment, the Client shall have a non-exclusive, non-transferable licence to use the deliverables for the purposes specified in the Contract.

Limitation of Liability

7.1Grant and Graham Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the provision of Services.
7.2Grant and Graham Ltd's total liability under the Contract shall not exceed the total fees paid by the Client for the Services.

Termination

8.1Either party may terminate the Contract by giving 30 days' written notice to the other party.
8.2Grant and Graham Ltd may terminate the Contract immediately if the Client breaches any material term of the Contract.
8.3Upon termination, the Client shall pay for all Services rendered up to the date of termination.

Governing Law and Dispute Resolution

9.1The Contract and these Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom.
9.2In the event of any dispute arising out of or in connection with the Contract, the parties shall first attempt to resolve the dispute through amicable negotiations.
9.3If the dispute cannot be resolved through negotiations within 30 days, either party may refer the dispute to mediation per the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure.
9.4If the dispute is not settled by mediation within 60 days of the appointment of the mediator, the dispute shall be referred to and finally resolved by arbitration under the Arbitration Act 1996. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the Contract or its subject matter or formation (including non-contractual disputes or claims).

Changes to Terms and Conditions

10.1Grant and Graham Ltd reserves the right to amend these Terms and Conditions at any time. Any changes will be posted on our website (www.grant-graham.co.uk).
10.2Continued use of our Services after any such changes shall constitute your consent to such changes.

Miscellaneous

11.1If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
11.2The failure of Grant and Graham Ltd to enforce any right or provision in these Terms and Conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
11.3These Terms and Conditions, together with any Contract, constitute the entire agreement between you and Grant and Graham Ltd regarding the use of our Services.
